Terms of Service

1. Acceptance of Terms

By accessing or using the RippleUGC platform ("Service"), operated by RippleUGC ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

We reserve the right to update these Terms at any time. Material changes will be communicated via the Service or email. Your continued use after changes constitutes acceptance.

2. Eligibility

  • You must be at least 16 years of age to use the Service.
  • If you are between 16 and 18, you must have your parent or guardian's consent.
  • You must provide accurate, complete, and current information when creating an account.
  • You are responsible for maintaining the security of your account credentials.

3. Description of Service

RippleUGC is a content scheduling and management platform that allows users to:

  • Upload and store video content.
  • Schedule and automatically publish videos to connected Instagram and TikTok accounts.
  • Track post performance and analytics.
  • Manage multiple campaigns and social media accounts.
  • Collaborate with brands on UGC (user-generated content) campaigns.

The Service requires you to connect your social media accounts via OAuth. We act as an authorized agent posting content on your behalf using the official platform APIs.

4. Account Responsibilities

  • You are responsible for all activity that occurs under your account.
  • You must not share your account credentials with others.
  • You must notify us immediately of any unauthorized use of your account.
  • We reserve the right to suspend or terminate accounts that violate these Terms.
  • You are responsible for maintaining valid connections to your social media accounts, including re-authenticating when tokens expire.

5. User Content

5.1 Ownership

You retain all ownership rights to the content you upload to the Service. By uploading content, you grant us a limited, non-exclusive license to store, process, and transmit your content solely for the purpose of providing the Service (e.g., storing your videos and publishing them to your connected accounts).

5.2 Content Restrictions

You agree not to upload, schedule, or publish content that:

  • Infringes on any third party's intellectual property rights.
  • Contains illegal, defamatory, harassing, threatening, or obscene material.
  • Contains malware, viruses, or harmful code.
  • Violates Instagram's or TikTok's community guidelines or terms of service.
  • Promotes violence, discrimination, or illegal activities.
  • Contains personally identifiable information of others without their consent.
  • Is spam or deceptive in nature.

5.3 Content Removal

We reserve the right to remove any content that violates these Terms or applicable law, without prior notice. We are not obligated to monitor user content but may do so at our discretion.

6. Third-Party Platform Compliance

  • You are solely responsible for complying with Instagram's and TikTok's terms of service, community guidelines, and content policies.
  • RippleUGC uses official platform APIs (Instagram Graph API, TikTok Content Posting API) and is subject to their terms and rate limits.
  • We are not responsible for changes to third-party APIs, policies, or services that may affect the functionality of the Service.
  • If your social media accounts are suspended or banned by the platform, we cannot restore access or reverse the action.
  • You acknowledge that posting frequency, content type, and engagement patterns may be subject to platform-specific limits.

7. Subscription and Payment

7.1 Pricing

  • The Service offers free and paid subscription plans as described on our pricing page.
  • Prices are subject to change with 30 days' notice.
  • All prices are in US dollars unless otherwise stated.

7.2 Billing

  • Payments are processed securely through Stripe.
  • Subscriptions are billed on a recurring basis (monthly or annually, depending on your plan).
  • You authorize us to charge your payment method on each billing cycle.
  • Failed payments may result in service interruption or downgrade.

7.3 Refunds and Cancellation

  • You may cancel your subscription at any time through your account settings or Stripe billing portal.
  • Cancellation takes effect at the end of the current billing period.
  • We do not provide pro-rated refunds for partial billing periods.
  • Refund requests for exceptional circumstances may be submitted to support@rippleugc.com within 14 days of the charge.

8. Intellectual Property

  • The Service, including its design, features, code, and branding, is owned by RippleUGC and protected by intellectual property laws.
  • You may not copy, modify, distribute, sell, or lease any part of the Service.
  • You may not reverse engineer or attempt to extract the source code of the Service.
  • "RippleUGC" and associated logos are trademarks of RippleUGC. You may not use them without written permission.

9. Prohibited Uses

You agree not to:

  • Use the Service for any illegal purpose or in violation of any applicable law.
  • Attempt to gain unauthorized access to the Service, other accounts, or computer systems.
  • Use bots, scrapers, or automated tools to access the Service (except through our official API, if provided).
  • Interfere with or disrupt the Service or its infrastructure.
  • Circumvent any rate limiting, access controls, or security measures.
  • Resell, sublicense, or provide the Service to third parties without authorization.
  • Use the Service to send unsolicited communications or spam.
  • Impersonate another person or entity.

10. Service Availability

  • We strive to maintain high availability but do not guarantee uninterrupted access to the Service.
  • The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
  • We are not liable for any losses resulting from scheduled posts failing to publish due to service downtime, API changes, or platform outages.
  • We will make reasonable efforts to notify you of planned maintenance in advance.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RIPPLEUGC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages.
  • Any loss of profits, revenue, data, or business opportunities.
  • Any damages arising from your use of or inability to use the Service.
  • Any damages arising from content posted to your social media accounts through the Service.
  • Any actions taken by Instagram, TikTok, or other third-party platforms.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will meet your specific requirements.
  • The Service will be uninterrupted, timely, secure, or error-free.
  • Posts will be published successfully to all platforms at all times.
  • Analytics data will be 100% accurate or real-time.

13. Indemnification

You agree to indemnify, defend, and hold harmless RippleUGC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorney's fees) arising from:

  • Your use of the Service.
  • Your violation of these Terms.
  • Your violation of any third party's rights, including intellectual property rights.
  • Content you upload or publish through the Service.

14. Termination

  • You may terminate your account at any time by contacting us or through account settings.
  • We may suspend or terminate your account at any time for violation of these Terms, with or without notice.
  • Upon termination, your right to use the Service immediately ceases.
  • We will delete your data in accordance with our Privacy Policy.
  • Sections 5.1, 8, 11, 12, 13, and 15 survive termination.

15. Governing Law and Disputes

  • These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
  • Any disputes arising from these Terms or the Service shall be resolved through binding arbitration under the rules of the American Arbitration Association.
  • You agree to resolve disputes on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration.
  • Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction.

16. General

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and RippleUGC.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.
  • Waiver: Our failure to enforce any provision does not constitute a waiver of that provision.
  • Assignment: You may not assign your rights under these Terms. We may assign our rights without restriction.
  • Force Majeure: We are not liable for failures or delays caused by circumstances beyond our reasonable control.
